PLEASE READ THIS AGREEMENT CAREFULLY. BY USING THIS WEBSITE, YOU AGREE TO THE TERMS OF THIS AGREEMENT. If you do not agree to be bound by the terms of this Agreement, please discontinue your use of the Website immediately.

Scope of Agreement

This Terms of Use Agreement ("Agreement") by and between the Worldwide IT Certifications ("we", "us", "our" or "WWITC") and you ("you" , "your" or "User") governs your use of the www.wwitc.org web site ("Site") together with all information, content, products, materials and services made available to you through the same by us and/or third parties (which together with the Site shall be collectively referred to as the "Services"). By using or otherwise accessing the Services, or any component thereof, in any manner whatsoever, you agree to be bound by and comply with the terms and conditions of this Agreement. If you do not agree to this Agreement, do not access or use the Services in any manner.

When we refer to the "use" of the Services in this Agreement, we mean any actual or attempted access or use of the Services, including, without limitation, any transmission, exchange of information or communication associated with the Services. These terms and conditions, together with the other terms of use applicable to other WWITC-owned or controlled web sites and any other policies, rules and provisions which are described, linked or otherwise referred to and from a part of this Agreement, including, without limitation our Privacy Policy, constitute the entire agreement between you and us, superseding any and all prior or inconsistent understandings, representations or agreements regarding the Services.

WWITC reserves the right to modify the terms of this Agreement at any time, and will post a notice of such changes. The changes become effective immediately upon posting (the "Effective Date"). If any change to the Agreement is not acceptable to you, you must stop using the Services. Your use of the Services after the Effective Date shall constitute your acceptance of such changes. If we make any new products or services available, they will be considered a part of the Services and your use of them will be governed by the terms and conditions of this Agreement unless we notify you that different terms and conditions apply. You must also comply with any additional terms which apply to third-party content, material, information, software or other services.

Registered User Accounts, Password and Security

In consideration of your use of the Site, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the relevant portions of the Site and (b) maintain and promptly update your Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete or WWITC have reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete.

You are solely responsible for maintaining the strict confidentiality of your User IDs and passwords and for any charges, damages, liabilities or losses incurred or suffered as a result of your failure to do so. We are not liable for any harm caused by or related to the theft of your User IDs/passwords, your disclosure of your User IDs/passwords, or your authorization to allow another person to access and use the Services using your User IDs/passwords. You agree to immediately notify us if you become aware of any unauthorized use of your User IDs/passwords or other need to deactivate a User ID/password due to security concerns. You agree that you will log off of the Website immediately when you are finished using it in order to prevent fraud by unauthorized persons.

Copyright

Unless otherwise indicated, the copyright in the content of this Website, including the screens displayed on the website, is owned by WWITC. You may not modify copy, reproduce, republish, upload, post, transmit, publicly display, prepare derivative works based on, or distribute in any way any portion of the Website, including but not limited to the code and software underlying the Website.

Trademarks

The WWITC Trademarks ("Marks") appearing on this site may not be used in any advertising or publicity, or otherwise to indicate WWITC's sponsorship of or affiliation with any product or service, without WWITC's prior express written permission. You are prohibited from using WWITC Marks or any names, marks, or other materials in a manner that is likely to cause confusion or dilute or damage the reputation or image of WWITC. You agree you will not alter any WWITC Mark in any manner to make it appear that WWITC is endorsing, sponsoring, authorizing or affiliated with you, your company, or any third party, except as expressly permitted in writing by WWITC.

Monitoring by WWITC

WWITC has the right, but not the obligation to monitor the use of the Website. If WWITC monitors the use of the Website, WWITC may examine, copy, and record any information relating to your usage of the Website. WWITC reserves the right to disclose any such information in order to comply with any law, regulation, or governmental request. WWITC shall have the right, but not the duty, to remove any communication that WWITC, in its sole discretion, finds to be objectionable or inappropriate.

No Warranties

The information and materials contained in this website, including text, graphics, links, and other items are provided on an "as is" basis. WWITC does not warrant the accuracy, adequacy, or completeness of the information and materials and expressly disclaims liability for errors or omissions in the information and materials. No warranty of any kind, implied or statutory, including but not limited to the warranties of non-infringement of third party rights, title, merchantability, fitness for a particular purpose, or freedom from computer virus, is given in connection with the information and materials.

Limitation of Liability

In no event will WWITC be liable for any damages, including without limitation direct or indirect, special, incidental, consequential or other damages, losses, or expenses arising in connection with the use of this website or any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus or line or system failure, even if WWITC or representatives thereof are advised of the possibility of such damages, losses, or expenses. WWITC shall not be liable for any consequences of your reliance on any advice, opinions, statements, or recommendations that appear on or are disseminated through this website. Any such reliance is at your own risk. WWITC shall not be liable for any defamatory, offensive or illegal conduct of any user of the website. Some states do not allow the disclaimer or limitation of incidential or consequential damages, so the disclaimers and limitations set forth in this section may not apply to you. Some states do not allow limitations on how long implied warranties may last, so the limitations set forth in this section may not apply to you. This section gives you specific legal rights. Acknowledgment of Warranty Disclaimers

You acknowledge and agree that WWITC would not have made this Website available to you without the warranty disclaimers and the limitations on liability and remedy that appear in this Agreement.

Indemnification

You agree to defend, indemnify, and hold harmless WWITC, its affiliates, and their respective directors, officers, employees, and agents from and against all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys fees) arising out of or accruing from

  • any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret. trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy;
  • any misrepresentation made by you in connection with your use of the Website;
  • any noncompliance by you with the terms of this Agreement; and
  • any claims brought by persons or entities other than you or WWITC arising from or related to your access and use of the Website, including the information obtained through the Website.

Termination

WWITC, at its sole discretion, and for any reason or for no reason, may terminate your password or your access to all or part of the Website, and may delete and discard any information that you have published, sent or received on or via the Website.

Minors

If you permit any minor child to use this Website, you will be solely responsible for: (i) the online conduct of such minor child; (ii) the monitoring of such minor child's access to and use of the Website; and (iii) the consequences of any such usage.

Links

Links to Third Party Sites. As a courtesy to Users, we may provide links to other websites or resources owned and operated by third parties. Because we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, services or other materials on or otherwise made available via such sites or resources. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services made available on or through any such site or resource.

Linking to WWITC. You may obtain permission to link to the Site by agreeing to adhere to the terms of the Linking Agreement. By linking to WWITC's web pages, you agree to the following terms:

  • Framing. You will not place WWITC web pages in a "frame" within your own web site, without specific permission from WWITC.
  • Proper Form of Link. All approved information links must include one of the following: the company names "World Wide IT Certifications, Inc.," the letters "WWITC," the WWITC URL, or the WWITC logo.
  • No Alteration or Misrepresentation. You will not use or alter any WWITC logo or trademark in any manner to make it appear that WWITC is endorsing, sponsoring or affiliated with you or your company, except as expressly permitted by WWITC.
  • Proper Use of WWITC Trademarks: You agree that all uses of WWITC marks and copyrighted materials will conform in all respects to WWITC's Intellectual Property Proper Use Guidelines.
  • Protection of Marks. You are prohibited from using the WWITC logo or names in a manner that is likely to cause confusion with, or dilute or damage the reputation or image of WWITC, any of its affiliates, or any of their products. The WWITC logo and/or names should not be displayed on your web site more prominently than your own marks or logos.
  • No Objectionable Content. You agree that no part of your web site will contain, or link to, content that may be interpreted as libellous, obscene or criminal, or which may infringe or violate any third party rights.
  • No Negative References. You agree not to make negative or disparaging references to WWITC, its services or its members or otherwise compare WWITC, its services or its members unfavourably to others.
  • Indemnification. You agree to indemnify, defend and hold WWITC harmless from and against any and all third party claims or causes of action brought against WWITC as a result of the rights granted hereunder, or in connection with any claim arising out of any breach by you of the foregoing representations and warranties, including, without limitation, attorneys' fees and costs.
  • Right to Terminate. WWITC may at any time, in its sole discretion, without notice, with or without cause, immediately terminate its consent to use the WWITC logo and/or names and to link to the WWITC Web Site. The consent granted to you hereunder shall terminate automatically if, at any time, you are in violation of this Linking Agreement. Upon WWITC's termination of its consent, you will immediately, following WWITC's request via email, remove all links and cease using the logo and/or names.
  • Non-Transferable. This agreement is not transferable.
  • Amendment in Writing. This agreement cannot be altered or modified except by email notice to you and/or by WWITC changing its web site policy and giving notice of that change to the linking party. WWITC reserves the right to amend its policy at any time. Any continuation of the link after notice of the change will be deemed acceptance of the modification.
  • No permission to use WWITC's Logo to link to WWITC's web site may be assumed. Your registration information will be verified by WWITC and permission acknowledged by e-mail.
  • A grant to link only responds to a request to link and does not constitute an endorsement of the requestor's company name, domain name or email address.
  • If using the WWITC Logo: The WWITC logo is a mark of Worldwide IT Certifications, registered in the Canada and/or other nations.

Usage

The Website is accessible to you through a computer or other access device. Its content may include information, editorial content, chat rooms, and links to other websites. You are responsible for all charges associated with accessing the Web Site.

Payment

WWITC provides certifications that are available for purchase. The payments conducted by site visitors are nonrefundable and irrevocable. WWITC uses third party providers (Paypal, Stripe) in order to process your online payments. WWITC does never obtain and store your payment information such as your credit card and/or bank account numbers. Therefore, WWITC does not possess any liability for the payment transaction you conduct with third parties. For more information about Paypal, Stripe, their "Terms and Conditions" and "Privacy Policy" statement, please visit https://www.paypal.com and https://www.stripe.com. If your Payment Method fails or your account is past due, you agree to pay all amounts due on your account upon demand and reimburse us for all reversals, charge-backs, claims, fees, fines, penalties and other liability incurred by us (including costs and related expenses) that were caused by or arising out of payments that you authorized or accepted.

Severability

If any provision of this Agreement is deemed unlawful, void, or otherwise unenforceable, then that provision shall be considered severable from this Agreement. Such provision shall be enforced to the fullest extent allowed by law to achieve the intention of the parties. The severable provision shall not affect the validity and enforceability of any remaining provisions of the Agreement.

Waiver

No waiver of any provision of this Agreement will be effective unless set forth in a written instrument signed by the waiving party. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default.
